Unless expressly stated otherwise, Cadence Commercial does not own the properties or businesses advertised on this website.

References to “Cadence Commercial”, “we”, “us” or “our” in these Terms refer to the entity operating the Cadence Commercial business and website.

2. Australia-Wide Operations

Cadence Commercial may advertise and provide services in relation to properties and businesses located throughout Australia.

Real estate, business broking, licensing and transaction requirements can differ between Australian states and territories.

Any transaction is subject to the laws, regulations and requirements applicable in the state or territory in which the relevant property, business or transaction is located.

Nothing on this website represents that a particular transaction can proceed without satisfying all applicable legal, regulatory, licensing or approval requirements.

3. Information on This Website

Information published by Cadence Commercial is provided primarily for general information and marketing purposes.

This may include property descriptions, areas and dimensions, asking prices, rental information, lease terms, outgoings, tenant information, yields, business information, financial information, floor plans, photographs, videos, maps, planning information and availability.

Some or all of this information may have been supplied by property owners, landlords, vendors, tenants, business owners, consultants, agents or other third parties.

Cadence Commercial may not have independently verified all information supplied by third parties.

While reasonable care may be taken when preparing marketing material, Cadence Commercial does not represent or warrant that all information is accurate, complete, current or suitable for a particular purpose.

Please also refer to our full Cadence Commercial Disclaimer.

4. Independent Due Diligence

Anyone considering purchasing, leasing, investing in or otherwise dealing with a property or business advertised by Cadence Commercial must undertake their own independent enquiries and due diligence.

You should not rely solely on information contained on this website, in an advertisement, Information Memorandum, brochure, email, social media post or other marketing material.

Depending on the transaction, this may include independently investigating:

  • Ownership and title
  • Property boundaries and measurements
  • Planning and zoning
  • Permitted uses
  • Development and building approvals
  • Building condition and compliance
  • Environmental matters
  • Lease documentation
  • Rental income and outgoings
  • Tenant obligations
  • Business licences and permits
  • Financial records
  • Revenue and expenses
  • Plant and equipment
  • Intellectual property
  • Employees and employment obligations
  • Taxation and GST
  • Financing
  • Any other matter relevant to the transaction

Prospective purchasers, tenants, investors and business buyers should obtain appropriate independent legal, financial, taxation, accounting, planning, building and other professional advice.

Further information regarding reliance on listing and marketing information is contained in our Disclaimer.

5. Property Sales

Properties advertised for sale are presented for marketing and enquiry purposes and do not necessarily constitute an offer capable of acceptance.

Unless expressly stated in legally binding documentation, advertised prices, yields, rental figures and other financial information are indicative only and may change.

A property transaction will only become binding in accordance with applicable law and contractual documentation executed by the relevant parties.

Cadence Commercial does not guarantee that a property will remain available while enquiries, negotiations or due diligence are taking place.

6. Commercial Leasing

Commercial properties advertised for lease are subject to availability, landlord approval, negotiation and execution of appropriate lease or occupancy documentation.

Advertised rent, outgoings, incentives, lease terms, availability dates and permitted uses may be indicative and subject to change.

A prospective tenant is responsible for determining whether a property is suitable for its proposed business or use.

The fact that a property is marketed for a particular use does not guarantee that the use is legally permitted or that any required planning approval, licence, permit or other authorisation will be granted.

7. Business Sales

Where Cadence Commercial markets a business for sale, information concerning that business may have been supplied by the vendor, business owner, accountant or another third party.

This may include revenue, turnover, profit, expenses, rent, employee information, customer information, stock, assets, plant and equipment, trading history, forecasts and lease information.

Unless expressly stated otherwise, Cadence Commercial does not independently audit or verify the financial accounts or performance of businesses advertised for sale.

Prospective purchasers must conduct their own financial, legal, operational and commercial due diligence.

Past performance is not a guarantee of future performance. Forecasts, projections or statements concerning future performance should be treated as estimates or opinions rather than guarantees.

8. Confidential Business Information

Certain information relating to businesses offered for sale may be commercially sensitive or confidential.

Cadence Commercial may require a prospective purchaser to complete and accept a Confidentiality Agreement before providing access to Information Memorandums, financial statements, detailed trading information, lease documentation, supplier or customer information, employee information or other commercially sensitive material.

Cadence Commercial may refuse or restrict access to confidential information where reasonably required by the vendor or applicable law.

Recipients must use confidential information solely for evaluating the relevant business opportunity and comply with any confidentiality obligations agreed with Cadence Commercial or the vendor.

9. No Financial or Investment Advice

Nothing published or communicated by Cadence Commercial constitutes financial, investment, taxation, accounting or legal advice.

References to yields, returns, rental income, capital growth, development potential, investment opportunities or similar matters are provided for general information and marketing purposes.

Purchasers and investors should obtain independent professional advice appropriate to their individual circumstances.

10. Planning, Zoning and Development

References to zoning, development potential, permitted uses, planning controls or redevelopment opportunities are not professional town planning or legal advice.

Planning schemes, legislation and government requirements can change.

Interested parties should independently confirm all planning and development matters with the relevant local council, state or territory authority and qualified professional advisers.

11. Measurements and Areas

All areas, dimensions, distances and measurements should be treated as approximate unless expressly verified.

This includes land areas, building areas, lettable areas, frontage, ceiling heights, floor areas and distances to landmarks, amenities or transport.

Prospective purchasers and tenants should obtain their own measurements, surveys or professional advice where accuracy is material to their decision.

12. Photographs, Videos, Floor Plans and Renders

Photographs and videos may have been taken at an earlier date and may not represent a property’s current condition.

Floor plans, site plans, maps, boundary markings, aerial images and other diagrams may be approximate and may not be to scale.

Computer-generated images, renders, virtual staging, digitally altered or enhanced photographs and artist impressions are illustrative only.

Furniture, equipment, signage, landscaping or other items shown in marketing material may not be included in a sale or lease.

13. Information Memorandums and Marketing Materials

Cadence Commercial may provide Information Memorandums, brochures, investment summaries, leasing documents and other marketing material.

Unless expressly stated otherwise, these materials are prepared for general marketing purposes using information supplied by clients and other sources.

Recipients must conduct their own enquiries and should not treat such material as a substitute for independent due diligence or professional advice.

Our broader limitations regarding marketing information are set out in the Cadence Commercial Disclaimer.

14. Expressions of Interest, Applications and Offers

Submitting an enquiry, Expression of Interest, leasing application, proposal or offer through Cadence Commercial does not automatically create a binding agreement.

Owners, vendors and landlords may accept, reject or negotiate offers subject to applicable law and any agreed sale or leasing process.

A transaction becomes binding only when the requirements for a legally binding agreement under applicable law have been satisfied.

15. Availability and Withdrawal

Properties and businesses may be sold, leased, placed under offer, placed under negotiation, withdrawn, repriced, reconfigured or otherwise become unavailable at any time.

Cadence Commercial does not guarantee the continued availability of any opportunity displayed on the website.

16. Anti-Money Laundering and Counter-Terrorism Financing Compliance

In accordance with applicable Australian Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF) legislation, Cadence Commercial may be required to undertake customer due diligence and identity verification when providing regulated services.

This may include verifying the identity of clients and identifying the ownership and beneficial ownership of individuals, companies, trusts, partnerships and other legal entities involved in a transaction.

Before Cadence Commercial can provide certain regulated services in connection with the listing, leasing, purchasing or sale of property, we may be required to verify:

  • Your identity.
  • The ownership and control of the purchasing, selling or other relevant entity, such as a company or trust.
  • The identity of beneficial owners and authorised representatives.
  • In some circumstances, the source of funds or source of wealth relating to the transaction.
  • The nature and purpose of the transaction.

These verification requirements may apply to all clients, including existing or long-standing clients with whom Cadence Commercial has previously worked.

Information collected for AML/CTF purposes may be used to verify identity, assess risk, maintain required compliance records and meet reporting or other obligations required by law, including applicable obligations involving AUSTRAC.

For further information about AML/CTF requirements affecting the Australian real estate industry, visit AUSTRAC – Real Estate Professionals.

Where information or documentation required to complete customer due diligence is not provided, Cadence Commercial may be unable to provide or continue providing the relevant regulated service until the required verification has been completed.

Personal information obtained through AML/CTF verification will be handled in accordance with applicable privacy requirements and our Privacy Policy.

17. Third-Party Information

Cadence Commercial may rely on information supplied by property owners, landlords, vendors, business owners and other third parties.

To the maximum extent permitted by law, Cadence Commercial is not responsible for inaccuracies, omissions or changes in third-party information that it has not independently verified.

Users should independently verify information that is material to their decision.

For further information, please refer to our Disclaimer.

18. Third-Party Websites and Services

The Cadence Commercial website may contain links to third-party websites, mapping services, social media platforms, property portals, document platforms and other external services.

A link to a third-party website or service does not necessarily constitute endorsement by Cadence Commercial.

19. Website Enquiries

Submitting an enquiry through the Cadence Commercial website does not create an agency relationship, contractual relationship, tenancy, reservation or entitlement to purchase or lease a property or business.

Information submitted through website forms should be accurate and genuine.

Cadence Commercial may contact you in relation to your enquiry and relevant property or business opportunities, subject to applicable privacy and marketing laws.

To the maximum extent permitted by law, Cadence Commercial and its directors, officers, employees, contractors, representatives and agents exclude liability for loss, damage, cost or expense arising from or connected with reliance on website or marketing information, errors or omissions in third-party information, changes to or withdrawal of a property or business, decisions made without independent due diligence, website interruptions or third-party services.

Users remain responsible for independently assessing any property, business or transaction.
